Launch B2B framework for Shaïla Sahai Advisory professional services and digital products. Specific SOW/order terms prevail if inconsistent.
Scope
These terms are intended for professional clients. They cover advisory services, diagnostics, programmes and, when offered, access to the Investment Decision Workspace.
Orders and scope
An advisory engagement starts only after written agreement on scope, price, deliverables, timing and payment terms. The applicable Diagnostic SOW defines the standard scope and exclusions.
Fees and payment
Prices are stated exclusive of taxes where applicable. The taxes actually due are shown on the proposal, order, checkout or invoice. This website does not assume a tax treatment before it is confirmed for the relevant transaction.
Payment terms
Applicable prices and payment schedules are those stated in the accepted proposal, SOW, order or invoice. Unless otherwise agreed, no discount is granted for early payment. For late B2B payments, late-payment interest is due automatically at the applicable ECB refinancing rate plus 10 percentage points, together with the statutory €40 fixed recovery charge, without prejudice to additional recovery costs that may be claimed where permitted by law.
Confidentiality
Confidential information is handled under the applicable NDA or agreed contractual clauses. Clients may propose their own NDA. Sensitive documents are not required before this framework is agreed.
Professional responsibility
Services provide analysis, methods and recommendations; investment, legal, regulatory, tax and operational decisions remain with the client and its authorised advisers. Subject to mandatory law, liability limitations are those agreed in the relevant contract or SOW.
Intellectual property
Each party retains its pre-existing materials. Rights in deliverables, methods, models, tools and licences are those stated in the applicable SOW, order or product-specific terms.
Governing law
Unless otherwise agreed, SSA contracts are intended to be governed by French law and B2B disputes are subject to the competent courts agreed in the contract, subject to mandatory applicable rules.
